These Terms of Service describe the terms and conditions which govern how you use the Vanultra website, https://vanultra.com (the Website), and any services, content, or any other functionality offered on or through the Website.

These Terms of Service are the entire and final Terms of Service regarding our Website and its content, and supersedes any prior or contemporaneous communications between Vanultra and you regarding the Website and its contents.

SECTION 1 – AGE OF CONSENT

By using this site, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use this site.

SECTION 2 – CHANGES TO THE TERMS OF SERVICE

We may revise and update these Terms of Service at any time at our sole discretion. All changes are effective on the day they are posted to the Website, and will apply to your access to and use of the Website starting on that day. However, any changes to the dispute resolution provisions described in Governing Law and Jurisdiction section below will not apply to any disputes for which the parties have actual notice before the date that change is posted on the Website.

Your continued use of the Website following the effective date of a revision to these Terms of Service means that you accept and agree to these Terms of Service as revised. You are responsible for periodically reviewing these Terms of Service to check for any changes.

SECTION 3 – GOVERNING LAW AND JURISDICTION

These Terms of Service and any disputes arising under or related to these Terms of Service (whether for breach of contract, tortious conduct or otherwise) will be governed by the laws in effect in the State of Colorado, without reference to its conflicts of law principles. Any legal actions, suits or proceedings arising out of these Terms of Service (whether for breach of contract, tortious conduct or otherwise) will be brought exclusively in the Colorado state or federal courts, as applicable, located in Chaffee County, and Vanultra and you hereby accept and submit to the personal jurisdiction of these Colorado courts with respect to any legal actions, suits or proceedings arising out of these Terms of Service. Vanultra and you also waive to the fullest extent permitted by law any right to a trial by jury in any action, suit or proceeding brought to enforce, defend, or interpret any right or remedies under, or arising in connection with or relating to, these Terms of Service.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Vanultra as a result of these Terms of Service or your use of this Website. Nothing contained in these Terms of Service is in derogation of Vanultra’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of this Website or information provided to or gathered by Vanultra with respect to such use. A printed version of these Terms of Service and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Service to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

The failure of Vanultra to enforce any provisions of these Terms of Service or respond to a breach by you or other parties shall not in any way waive its right to enforce subsequently any terms or conditions of these Terms of Service or to act with respect to similar breaches.

SECTION 4 – ACCESSING WEBSITE AND ACCOUNT SECURITY

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users. You are responsible for: (a) making any arrangements necessary for you to have access to the Website; and (b) ensuring that all persons who access the Website through your internet connection are aware of these Terms of Service and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. You agree that all information you provide to or post on this Website, including but not limited to through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy. If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat that information as confidential, and you must not disclose it to any other person or entity.

We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Service.

SECTION 5 – ONLINE PURCHASES

All purchases through our site or other transactions for the sale of goods made through the Website or as a result of visits made by you are governed by Terms of Service. All purchases are one-time transactions.  Customers will be sent a confirmation email stating the success of transaction.

SECTION 6 – INTELLECTUAL PROPERTY RIGHTS

The Website and its entire contents and functionality (including but not limited to all information, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Vanultra or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as follows: Temporarily stored copies of such materials on your computer or Web browser for the purposes of viewing and interacting with the Website. You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication or distribution. You must not modify copies of any materials from this site, use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text, delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from this site. You must not access or use for any commercial purposes (other than to purchase products from us) any part of the Website or any services or materials available through the Website.

No right, title or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by Vanultra. Any use of the Website not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark and other laws.

SECTION 7 – PROHIBITED USES

You may use the Website only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm Vanultra or users of the Website or expose them to liability.

Additionally, you agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.
  • Use any robot, spider or other automatic device, process or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
  • Use any manual process to monitor or copy any of the material on the Website or for any other unauthorized purpose without our prior written consent.
  • Use any device, software or routine that interferes with the proper working of the Website.
  • Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

User Contributions

The Website contains customer questions and product reviews and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Website. All User Contributions must comply with the Content Standards set out in these Terms of Service.

We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions posted by you or any other user of the Website.

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

You agree to defend, indemnify and hold harmless Vanultra and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services and products other than as expressly authorized in these Terms of Service or your use of any information obtained from the Website.
